Welcome to Ambire Collective. These Terms of Service ("Terms") govern your access to and use of our website at ambirecollective.co, our membership community hosted on Circle, and any related programs, events, or services we offer (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

Ambire Collective LLC ("Ambire Collective," "we," "us," or "our") is a North Carolina limited liability company located at 110 Chestnut Cove Rd, Brevard, NC 28712. You can reach us at hello@ambirecollective.co.

1. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent that you meet this requirement and have the legal capacity to enter into a binding agreement.

2. Membership and Subscriptions

Joining. Many features of our Services are available only to paying members. By completing the membership enrollment process, you agree to the subscription terms presented at the time of sign-up.

Billing and renewal. Membership subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan) and will automatically renew at the end of each billing cycle unless you cancel. By enrolling, you authorize us to charge your payment method on a recurring basis without separate approval for each charge.

Cancellation. You may cancel your membership at any time through your account settings or by contacting us at hello@ambirecollective.co. Cancellations take effect at the end of the current paid billing period. You will retain access to the community through the end of that period.

Refunds. Membership fees are non-refundable, including in cases of early cancellation, except where required by applicable law. If you have a concern about your membership or our Services, please reach out to us before disputing a charge with your financial institution. In the event of a chargeback, you agree that we may present proof of purchase and these Terms to resolve the dispute.

Price changes. We reserve the right to change membership pricing at any time. We will notify you of any price changes before they take effect, and continued use of the Services after the change becomes effective constitutes your acceptance of the new pricing.

3. Privacy

Your use of the Services is subject to our Privacy Policy, available at ambirecollective.co/privacy-policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

4. Your Content

You retain ownership of any content you post, share, or contribute within the Services, including posts, comments, resources, and other materials ("Your Content").

By posting Your Content, you grant Ambire Collective a non-exclusive, royalty-free, worldwide license to use, display, reproduce, and distribute Your Content in connection with operating and promoting the Services. This includes sharing member spotlights, community highlights, or event recaps on our website and social channels, subject to applicable account settings and your reasonable expectations as a community member.

You are solely responsible for Your Content. By posting, you represent and warrant that you own or have the necessary rights to share the content, that it does not infringe any third-party intellectual property or privacy rights, and that it complies with these Terms and applicable law.

If you attend an Ambire Collective event, whether virtual or in person, you grant us the right to use photos or video taken at that event for promotional purposes, including on our website and social media.

5. Community Standards

Ambire Collective is built on the values of reciprocity, trust, and collective growth. By participating in our community, you agree to engage respectfully and in accordance with those values. You agree not to:

  • Post content that is harassing, hateful, discriminatory, abusive, threatening, or otherwise harmful to any person or group

  • Spam, solicit, or promote products or services without authorization from Ambire Collective

  • Share another member's private information without their consent

  • Use the community to build a competing product or service

  • Collect or harvest member information for any external purpose

  • Post false, misleading, or deceptive content

  • Violate any applicable law or regulation in connection with your use of the Services

We reserve the right to remove content and suspend or terminate accounts that violate these standards, at our sole discretion and without prior notice.

6. Our Intellectual Property

All content we create and publish through the Services — including our brand, website, curriculum, written materials, graphics, and community programming — is owned by Ambire Collective LLC and protected by applicable intellectual property law. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.

7. Third-Party Platforms and Links

Our Services operate in part through third-party platforms including Circle. Your use of those platforms is also subject to their respective terms of service and privacy policies. We are not responsible for the practices of third-party platforms or any content hosted on them outside of our direct control. Links to third-party websites within our Services are provided for convenience only, and we are not responsible for their content or practices.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AMBIRE COLLECTIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Results disclaimer. Any outcomes, results, or success stories referenced in connection with our community or programs are individual experiences and are not typical or guaranteed. Your results from participation in Ambire Collective will depend on many factors outside our control.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AMBIRE COLLECTIVE AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ambire Collective LLC and its members, managers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, or your violation of these Terms.

11. Dispute Resolution

We'd genuinely rather work things out. If you have a concern or dispute, please contact us first at hello@ambirecollective.co and give us a reasonable opportunity to resolve it informally.

If informal resolution is not successful, any dispute arising out of or related to these Terms or the Services will be governed by the laws of the State of North Carolina, without regard to conflict of law principles. The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings. Any legal action will be brought in the state or federal courts located in Transylvania County or Buncombe County, North Carolina, and both parties consent to personal jurisdiction in those courts.

Any claim arising out of these Terms must be brought within one (1) year of when the cause of action arose, or it is permanently barred.

12. Modifications to the Services and These Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without liability. We also reserve the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "last updated" date, and may also notify you by email. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

13. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. If your account is terminated for cause, you are not entitled to a refund of any prepaid fees. Provisions of these Terms that by their nature should survive termination — including IP ownership, disclaimers, limitation of liability, and dispute resolution — will survive.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Ambire Collective with respect to the Services and supersede all prior agreements or understandings on the same subject matter.
